Ashia Keyz Studios · Ashia Keyz Film University · Version 2026-10-15

Student Confidentiality, Non-Duplication & No-Refund Agreement

Please read this agreement in full before you sign. It is a legally binding contract between you and Ashia Keyz Studios. It applies to the course you are purchasing and to every course material you receive, view, or access through Ashia Keyz Film University.

1. Parties and effective date

This agreement is between Ashia Keyz Studios (“Company,” “we,” “us”) and the person who enrolls and signs it (“Student,” “you”). It takes effect on the date you sign it electronically, and it governs your enrollment, access, and use of the course.

2. The course

The Director’s Course is an online, self-paced training program. It includes eight modules from Introduction through the Affiliate Program; training videos, lessons, scripts, character, wardrobe, soundtrack, editing, premiere, and marketing guides; prompts and templates; the film university simulator; quizzes, questionnaires, and learning games; the 30-Day Plan; and lessons that unlock each day from November 5, 2026 at 9:00 AM Central Standard Time over five lesson days (the October 26 class is fully booked). Together these are the “Course Materials.” The Free Introductory Course is provided separately and is not covered by any purchase.

Lesson dates and lesson order, and platform features may change. We will give reasonable notice of material changes. A change in schedule or features does not entitle you to a refund.

3. Limited personal license

Subject to this agreement and your full payment, Company grants you a personal, non-exclusive, non-transferable, revocable license to access and use the Course Materials to learn filmmaking and to create your own films, series, and marketing content for your own use or for your own commercial projects. This license does not allow you to teach, sell, license, or distribute the Course Materials, and it does not allow you to build any course, school, or program that uses them.

4. Confidential information

The Course Materials are confidential and are owned by Company and its licensors. Confidential information includes, without limitation: course videos, recordings, and lesson content; lesson plans, slide content, frameworks, and workflows; prompts, templates, character and wardrobe systems, soundtrack methods, and marketing systems; the structure and design of the film university, the simulator, and the 30-Day Plan; quizzes and learning games; login credentials and dashboard content; unpublished business information shared in class; and pricing and terms of any Educator or licensing offer. You agree to keep all confidential information strictly private and to use it only for your own learning under this agreement.

5. Non-duplication

You shall not copy, reproduce, duplicate, record, screen-capture in bulk, download, scrape, transcribe, translate, adapt, or otherwise duplicate any part of the Course Materials, in whole or in part, in any format, medium, or device. This includes copying lessons, prompts, templates, scripts, outlines, frameworks, module structure, and the sequence of the curriculum into notes, documents, presentations, websites, or any other work that you create or share, unless you hold the written authorization described in Section 6.

6. Resale and teaching restrictions

You shall not sell, resell, license, sublicense, give away, rent, publish, post publicly, upload, share login access, or otherwise make available the Course Materials, or any information derived from them, to any third party. You shall not teach or offer the Course Materials, or any course, workshop, or program that is substantially similar to them, to others for payment or without charge.

You may duplicate, reproduce, teach, offer, or resell any part of the Course Materials only if you hold one of the following, and only within its terms: (a) written authorization signed by an authorized representative of Ashia Keyz Studios that expressly grants that right; or (b) an active Educator’s Course license that you purchased from Company, used only in compliance with its usage terms and branding rules. A verbal statement, a social media post, a course review, or a prior purchase of the Director’s Course does not grant any of these rights.

7. Your own work

You own the films, scripts, characters, music, and other original creative works that you make while you learn, subject to the rights of any third-party tools you use. You are responsible for ensuring that your work does not infringe any third party’s rights, including rights in music, likenesses, trademarks, and copyrighted material. You may not reproduce the Course Materials inside your own work in a way that would let another person use them as course content. Company may display examples of student work with your written permission only.

8. Third-party tools and credits

Creative software, AI generation tools, subscriptions, and generation credits are provided by third parties and are not included in the course price, except as the course page expressly states. You are responsible for their costs and for complying with their terms of service. The University app includes a 14-day free trial; after the trial, continuing app membership is $29.99 per month unless you cancel before the trial ends.

9. Affiliate program

If you join the affiliate program, you may earn commissions as described in the affiliate terms in effect at the time of the sale. You may not misrepresent the course, make income promises, send unsolicited bulk messages, bid on Company’s trademarks in paid search, or use the Course Materials in your promotion beyond the approved affiliate materials. Company may withhold or reverse commissions on orders that are charged back, fraudulent, or made in breach of this agreement.

10. Account security and single-user access

Your account is for you alone. You are responsible for keeping your password confidential and for all activity under your account. You may not share your account, screen-record a lesson for others, or let another person view the Course Materials on your behalf. We may limit simultaneous sessions or require re-verification if we detect shared access.

11. Monitoring and enforcement

Company may monitor access, usage, and public postings for compliance with this agreement. If we believe you have breached Sections 4 through 6, we may suspend or terminate your access immediately, without refund, and we may require you to delete any copies and certify in writing that you have done so. Because a breach of this agreement may cause harm that money cannot repair, Company may also seek an injunction in addition to any other remedy, and the prevailing party in any enforcement action may recover reasonable attorney fees and court costs.

12. Term and survival

This agreement begins when you sign it and continues until terminated. Sections 4 through 6, 11, 14, and 17 through 21 survive termination. Your confidentiality obligations continue for five years after termination, and your obligations for any Course Materials that remain trade secrets continue for as long as they remain secret.

13. Payments and pricing

All prices are in US dollars. Payments are processed securely by Stripe, and taxes are added where required by law. The Director’s Course is $349.99 as a one-time payment. The Educator’s Course is sold separately and requires the Director’s Course. The price shown at checkout is the price you pay, and it is final once payment is processed.

14. No-refund policy

All sales are final. Company does not offer refunds, credits, or exchanges on any purchase, including the Director’s Course, the Educator’s Course, any licensing right, and any add-on, for any reason, including change of mind, lack of time, technical difficulty you can resolve, missed lessons, or dissatisfaction with results. Access begins once payment is processed. Refunds are provided only where a refund is required by applicable law. The Free Introductory Course is available so you can try the training before you buy.

If you file a chargeback or payment dispute for a purchase you made under this agreement in bad faith, Company may terminate your access, keep your student records, and contest the dispute with supporting evidence, including this signed agreement and your access logs.

15. Disclaimers and results

The course teaches skills and processes. It does not guarantee any specific result, including any income, sales, views, bookings, or film distribution. Testimonials and examples describe individual experiences that are not typical. Third-party tools may change or become unavailable, and Company does not control them.

16. Limitation of liability

To the fullest extent permitted by law, Company’s total liability arising out of or relating to this agreement or the course is limited to the amount you paid for the course in the twelve months before the claim. Company is not liable for indirect, incidental, consequential, special, or punitive damages.

17. Indemnity

You agree to defend, indemnify, and hold harmless Company and its owner, employees, and contractors from third-party claims, losses, and costs arising from your breach of this agreement, your creative work, or your use of third-party tools.

18. Governing law and disputes

This agreement is governed by the laws of the state in which Ashia Keyz Studios is organized, without regard to conflict-of-law rules. Before filing any claim, the parties will try in good faith to resolve the dispute by written notice for thirty days. Any unresolved dispute will be brought in the state or federal courts located in that state, and you consent to their jurisdiction.

19. Electronic signature and records

By typing your full legal name and checking the required boxes, you are signing this agreement electronically. Your electronic signature has the same legal effect as a handwritten signature under the federal E-SIGN Act and applicable state law. Company will keep a record of this agreement, your typed name, the date and time you signed, and the agreement version, and will provide a copy on request.

20. Entire agreement, changes, and severability

This agreement, together with the course page and the checkout summary you accepted, is the entire agreement about the course and replaces any earlier understanding. We may update the course terms for future purchases by posting a new version. An update does not change the terms of a purchase you already completed, including the no-refund policy. If any provision is found unenforceable, the rest of this agreement remains in effect, and the provision will be enforced to the maximum extent allowed.

21. Contact
